Missouri · Secretary of State, Corporations Division

Missouri never asks you to update your registered agent. That is the problem.

Missouri LLCs file no annual report, and changing your agent is a $10 form. So the agent on your articles from years ago is probably still the agent on file. If that agent quits or your formation company’s free year ran out, the state does not chase you. Instead the Secretary of State becomes your agent by law and mails any lawsuit to the organizer address on your original articles, which is often the formation company, not you.

Doing it yourself vs paying an agent

A member or manager who lives in Missouri can serve for $0. The trade is the one on our be your own agent and home address notes: your name and street address go on the public record (see is the agent address public?), and process servers come to that address. Because Missouri charges no annual report, the vendor bill below is nearly all an agent costs you here.

Northwest $125/year from its registered-agent page (re-read 12 October 2026 CT). We did not check a Missouri office location for any vendor, so we do not state one. Switching registered agents in Missouri

  1. Pick a successor that fits RSMo 347.030: a Missouri resident or a corporation authorized in Missouri, at a Missouri street address. Get its signature on Corp. 59 or a separate written consent.
  2. File Corp. 59 online or by mail ($10). Online filing asks you to upload the new agent’s consent letter. The change is effective when filed.
  3. Then cancel the old vendor. Vendor walk-throughs: leave LegalZoom · leave ZenBusiness · leave Bizee.

If you already lapsed, start with no registered agent? If you have a cancellation notice, the 30-day window under RSMo 347.183 is the one to watch.

What this page does not do

It does not cover Missouri corporations (which do file an annual registration report), nonprofits, professional entities, or state and local taxes, and does not pick an agent for you. Questions

Does a Missouri LLC need a registered agent?

Yes. RSMo 347.030.1 says each limited liability company shall continuously maintain in Missouri a registered office and a registered agent. Foreign LLCs registering in Missouri name a Missouri agent too, under RSMo 347.153.

Who can be a registered agent in Missouri?

RSMo 347.030.1 names two options: an individual who lives in Missouri, or a domestic or foreign corporation authorized to do business in Missouri. Either way, the agent's business office has to be the same address as the registered office. The Secretary of State's change form (Corp. 59) adds that the agent and address must be in Missouri and that the business may not act as its own agent. A member or manager who lives in Missouri can serve personally.

Can a Missouri registered agent use a PO box or virtual mailbox?

Not a PO box on its own. Corp. 59 says a PO box may only be used together with a physical street address. A mailbox service only works if the business at that street address is actually your named agent and accepts service, which is a different product from mail forwarding.

How much does it cost to change a registered agent in Missouri?

$10 on Corp. 59 (revised 01/2025), the Statement of Change of Registered Agent and/or Registered Office, which LLCs and corporations both use. RSMo 347.179 lists $5 for the same statement; we report both and the form is what you pay. The new agent signs the form or you attach their written consent, and online filing asks you to upload that consent letter. Under RSMo 347.030.3 the change takes effect when it is filed.

Do Missouri LLCs file an annual report?

No. The Secretary of State's FAQ answers that exact question with a one-word no. Corporations file an annual registration report; LLCs do not. That keeps upkeep cheap, but it also means nothing ever asks you to confirm your registered agent. The one on your articles stays on the record until you file Corp. 59.

What happens if my Missouri registered agent resigns?

The agent files LLC 6 ($10) after giving the LLC written notice. Under RSMo 347.030.6 the resignation takes effect 30 days after the Secretary of State receives it, or sooner if you appoint a new agent. After that, RSMo 347.033 makes the Secretary of State your agent automatically. A plaintiff pays $20 to serve the Secretary, who forwards the papers by registered mail to the organizer address in your articles of organization.

Can Missouri cancel my LLC for not having a registered agent?

Yes. RSMo 347.183 lets the Secretary of State cancel an LLC's articles for failing to maintain a registered agent, after 30 days' written notice delivered to the last registered agent on record or to a member or manager. You can fix it by filing the missing documents within that window, and the Secretary may rescind a cancellation once the problem is corrected. Late filing fees under that section are $10 per 30-day period.
